"Ledgr" or "we" refers to the operator of the Ledgr platform (ledgr-wealth.polsia.app and any successor domains).
"Customer" or "you" refers to the wealth advisory firm, RIA, insurance professional, or family office that has created an organization account on Ledgr.
"Users" refers to individual personnel of the Customer who access Ledgr under the Customer's organization account.
"Client Data" refers to data about your firm's clients (UHNW individuals, families, trusts, entities) that you enter, upload, or import into the platform.
"Platform" refers to the Ledgr web application, APIs, integrations, and all associated services.
"Subscription" refers to your firm's paid or trial access to the Platform.
Ledgr provides a wealth operations platform for financial advisory firms managing ultra-high net worth clients. Core capabilities include:
Ledgr is a tools platform, not a registered investment advisor, broker-dealer, insurance company, or financial institution. We provide software; we do not provide investment advice, insurance advice, or financial planning services.
Access to Ledgr requires your firm to create an organization account. You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your credentials.
As an organization administrator, you are responsible for managing user access within your account, including creating and deactivating users, assigning appropriate roles, and enforcing your firm's security policies.
You are responsible for all activity that occurs under your organization account. You must promptly notify us of any unauthorized access or security breach by emailing security@ledgr.com.
All Client Data you enter into Ledgr remains owned by your firm. We claim no ownership over your Client Data. Upon termination, you may export your data, after which it will be deleted per our retention policy.
You are the data controller for all Client Data. You represent and warrant that:
Ledgr processes Client Data on your behalf and under your instructions. We will process Client Data only as directed by you and as described in our Privacy Policy, and only for the purpose of providing the Platform to you.
You acknowledge that you may enter highly sensitive personal and financial information (SSNs, financial account data, insurance beneficiary information) into Ledgr. You accept responsibility for this decision and agree to use Ledgr's security features (MFA enforcement, access controls, audit logging) appropriately for the sensitivity of this data.

Access to Ledgr is provided on a subscription basis. Subscription tiers, features, and pricing are described on the Ledgr pricing page and in any applicable order form or proposal.
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in writing by Ledgr.
If you access Ledgr through a free trial, you may use the Platform at no charge until the trial period ends. After the trial, continued access requires a paid subscription.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. After cancellation, you will retain read-only access for 30 days to export your data, after which your account and data will be scheduled for deletion per Section 4 of our Privacy Policy.
We reserve the right to suspend access for accounts with outstanding balances after providing at least 10 days' written notice.
Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose it to third parties without prior written consent, except as required by law or to fulfill obligations under these Terms.
"Confidential Information" includes, but is not limited to: Client Data (for Ledgr), Platform architecture, pricing, and non-public business information (for you).
Both parties will use the same degree of care to protect the other's Confidential Information as they use for their own, but no less than reasonable care.
The Platform, its design, features, code, and all intellectual property are owned exclusively by Ledgr. These Terms grant you a limited, non-exclusive, non-transferable license to use the Platform during your Subscription for internal business purposes.
You retain all rights to your Client Data. By uploading data to Ledgr, you grant us a limited license to store, process, and display that data solely for the purpose of providing the Platform to you.
If you provide feedback or suggestions about the Platform, we may use that feedback without restriction or compensation to you.
Ledgr maintains administrative, technical, and physical safeguards designed to protect Client Data, as described in our Privacy Policy and Security Center documentation. However:
In the event of a security incident affecting your Client Data, we will notify you in accordance with applicable law and our incident response procedures.
Ledgr targets 99.5% monthly uptime for the Platform, excluding scheduled maintenance windows. We will provide advance notice of planned maintenance via in-app banner or email.
We do not guarantee uninterrupted or error-free operation of the Platform. In the event of a material service outage, we will communicate status updates via our status page and in-app messaging.
Your sole remedy for service unavailability is as may be stated in an applicable enterprise agreement or order form. No SLA credits are provided under standard subscription terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
These limitations apply regardless of the theory of liability and even if Ledgr has been advised of the possibility of such damages. Some jurisdictions do not allow certain liability limitations; in such cases, liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Ledgr and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Either party may terminate these Terms upon written notice. Your access ends at the end of your current billing period (for you) or upon notice (for Ledgr, with reasonable notice except in cases of breach).
Ledgr may immediately suspend or terminate your access without notice if you materially breach these Terms, including but not limited to: unauthorized access attempts, non-payment, use in violation of applicable law, or conduct that poses a security risk to other users.
Upon termination, your right to access the Platform ceases. You will have 30 days to export your data. After 30 days, all data will be deleted per our retention policy. Sections 4, 7, 8, 11, 12, and 14 survive termination.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising out of or related to these Terms shall first be subject to good-faith negotiation between the parties. If negotiation fails within 30 days, disputes shall be resolved by binding arbitration under the American Arbitration Association (AAA) Commercial Rules, conducted in English, with the seat of arbitration in Delaware.
Class actions and class arbitrations are waived to the maximum extent permitted by law.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for intellectual property infringement or data security breaches.
We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice via in-app banner and email to organization administrators. Your continued use of the Platform after the effective date of changes constitutes acceptance.
If we make changes you find unacceptable, you may terminate your subscription before the effective date of the changes with a full refund of any pre-paid fees for the unused period.
